In the areas of securities and corporate finance, we have been involved in private placements of shares and other security instruments. We also provide services relating to cross border transactions, documentary credits and international trade and have advised on various forms of corporate, project and trade financing as well as loan syndication. We draft loan and security documents and have been asked to render legal opinions on a range of banking and financing issues.


In general company law, we offer advice on corporate governance, directors’ duties, responsibilities and liabilities, shareholders’ rights as well as regulatory compliance with local business legislation and the requirements of the Singapore Exchange. We also provide registered office, corporate and secretarial services for both private and listed companies.


In employment law, we advise on issues ranging from incentive programmes such as employee share option schemes to executive service agreements. When employment issues turn contentious, we advise clients in respect of issues such as restraint of trade and protective covenants.


In information technology and Intellectual property, we represent our clients in the negotiation of licensing agreements with local collective administration societies. We have represented statutory bodies as well as private providers of educational services in such complex and time-sensitive negotiations.


Parallel to negotiations, we advise statutory bodies of their IP rights in their various licence agreements. We also give strategic advice to corporations to enable them to leverage on their research and development, maximise their intellectual capital and maintain sufficient market protection, be it by way of distributorship agreements, franchising agreements, non-disclosure agreements, such other intellectual property agreement, or the filing and registration of intellectual property.


Our practice extends to instances of insolvency. In this regard, we have acted for liquidators in one of the world’s largest corporate insolvencies. We have also advise Scheme Administrators and Judicial Managers in various corporate recovery regimes.
